Sleep and Meditation App Headspace Acquired for Approximately $200-300 Million
American virtual healthcare company Sword Health plans to acquire digital meditation company Headspace, with the transaction expected to close on September 14. According to Axios, insiders revealed that the deal is valued at between $200 million and $300 million.

Headspace was founded in 2010 and is one of the first apps to commercialize and popularize sleep and meditation. The core content sections on the Headspace app include: meditation, sleep, focus, movement, kids and family, as well as personalized daily routines and an AI empathetic companion called Ebb, which helps manage emotions and provides personalized recommendations (meditation, breathing exercises, etc.). The app also offers online therapy services and mental health coaching services.

The company's official website shows that Headspace's paid app is available in over 200 countries and regions worldwide, with more than 100 million users and over 105 million app downloads.

One of Headspace's co-founders, Andy Puddicombe, initially pursued a degree in sports science in the UK, but after a series of setbacks, he dropped out and traveled to the Himalayas to study meditation, eventually becoming a Tibetan Buddhist monk. After returning to secular life in 2004, he briefly trained at the Moscow State Circus and later earned a bachelor's degree in circus arts from the London School of Dance and Drama.

Afterwards, he opened a private meditation practice in London, where he met Rich Pierson. Pierson, a former executive at a well-known London advertising agency, was physically and mentally exhausted from high-pressure work and suffered from persistent social anxiety. Seeking relief, he consulted Puddicombe for meditation guidance. This encounter led to the birth of Headspace.
In recent years, Andy Puddicombe has also gained popularity on social media through a series of videos, such as his TED talk "All it takes is 10 mindful minutes" and the Netflix series "Headspace Guide to Meditation". He has also authored three books, including "The Headspace Guide to Meditation and Mindfulness," which was recommended by Bill Gates.

Data from the Tracxn platform shows that since its founding, Headspace has completed 10 rounds of financing, raising a total of $178 million. In 2021, Headspace merged with Ginger, a mental health treatment and services company, and the combined entity was valued at approximately $3 billion, making it one of the largest deals in the digital mental health sector at the time.
Sword Health was founded in 2015 and is known for developing digital rehabilitation tools to assist physical therapy in musculoskeletal care. In recent years, it has expanded into the broader field of "AI care," offering services including women's health, cardiometabolic health, and mental health. The company primarily serves corporate employers and large organizations, helping reduce healthcare costs, and also covers some direct-to-consumer scenarios.
Last year, Sword Health announced a $40 million funding round, valuing the company at $4 billion.
After the acquisition is completed, Headspace stated that it "expects to continue operating its business in substantially the same manner as it currently does, retaining its existing virtual service offerings," which include virtual therapy, behavioral health coaching, and on-demand wellness content.
According to filed documents, the two companies expect that the transaction will not result in significant changes to reimbursement rates, service access, quality of care, or payer mix, but may result in layoffs for employees in overlapping roles.
